DisasterChief — Terms of Service & Platform Agreement

AGREEMENT TO TERMS

These Terms of Service and Platform Agreement ("Agreement") constitute a legally binding contract between you ("User") and DisasterChief, LLC ("DisasterChief," "we," "us," or "our") governing your access to and use of the DisasterChief platform, including all associated websites, mobile applications, progressive web applications, APIs, SMS services, and related services (collectively, the "Platform").

BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, OR CLICKING "I AGREE," YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT IN ITS ENTIRETY. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

This Agreement applies to all categories of users:

  • Property Owners / Property Managers — individuals or entities who register accounts to manage maintenance requests for one or more properties
  • Tenants — individuals who submit maintenance requests via SMS, web form, or other channels made available through the Platform
  • Technicians / Service Providers — independent contractors, service companies, and their employees or subcontractors who receive and fulfill job assignments through the Platform

1. NATURE OF THE PLATFORM — COORDINATOR, NOT A PARTY

1.1 Coordination Service Only

DisasterChief is a technology platform that facilitates communication and coordination between Property Owners, Tenants, and Technicians. DisasterChief is not a party to any maintenance service agreement, lease agreement, employment relationship, or contractor relationship between users.

1.2 No Employment or Agency Relationship

DisasterChief does not employ, supervise, direct, or control any Technician or Service Provider. Technicians who accept work through the Platform are independent contractors or employees of independent businesses. DisasterChief is not a general contractor, property manager, or staffing agency. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between DisasterChief and any User.

1.3 No Guarantee of Service

DisasterChief does not guarantee that any maintenance request will result in a Technician being contacted, that any Technician will accept or complete any job, that work will be performed to any particular standard, or that any request will be resolved within any particular timeframe. The Platform automates outreach and coordination as a convenience; it does not warranty the outcome of that coordination.


2. USER ACCOUNTS AND ELIGIBILITY

2.1 Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to create an account or use the Platform in any capacity.

2.2 Account Accuracy

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You are solely responsible for all activity that occurs under your account credentials.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify DisasterChief immediately of any unauthorized access to or use of your account.

2.4 Property Owner Responsibility for Delegates

If a Property Owner grants access to the Platform to employees, property managers, or other agents ("Delegates"), the Property Owner is solely responsible for all actions taken by those Delegates. References to "Property Owner" throughout this Agreement include authorized Delegates acting on the Property Owner's behalf.


3. PROPERTY OWNER TERMS

3.1 Accuracy of Property and Tenant Information

Property Owners are solely responsible for the accuracy of all property, unit, and tenant information entered into the Platform, including but not limited to property addresses, unit numbers, tenant phone numbers, and tenant contact details. DisasterChief bears no responsibility for failed communications, misdirected notifications, or incorrect routing resulting from inaccurate information provided by the Property Owner.

3.2 Technician Selection and Vetting

Property Owners are solely responsible for selecting, vetting, and approving all Technicians added to their account. DisasterChief does not independently verify Technician credentials, licenses, insurance, background, or qualifications. The Platform may surface marketplace Technicians who have provided self-reported information to DisasterChief, but DisasterChief makes no representations as to the accuracy or completeness of that information. Property Owners bear full responsibility for ensuring that any Technician permitted to access their properties is appropriately licensed, insured, and qualified for the work to be performed.

3.3 Property Owner Decision Authority

All final decisions regarding maintenance actions — including whether to approve or reject a quote, whether to proceed with a particular Technician, whether to authorize work, and how to resolve a maintenance issue — rest solely with the Property Owner. The Platform provides information and automates routine communications; it does not substitute for the Property Owner's judgment or oversight.

3.4 Compliance with Law

Property Owners are solely responsible for complying with all applicable federal, state, and local laws and regulations, including landlord-tenant laws, habitability requirements, building codes, and fair housing regulations. DisasterChief does not provide legal advice and does not warrant that use of the Platform ensures compliance with any legal obligation.

3.5 Subscription Fees

Property Owner access to the Platform is subject to the payment of subscription fees as described on the Platform pricing page in effect at the time of purchase. Fees are non-refundable except as expressly stated in DisasterChief's Refund Policy or required by applicable law.


4. TENANT TERMS

4.1 Accuracy of Submissions

Tenants are solely responsible for the accuracy and completeness of information submitted through the Platform, including descriptions of maintenance issues, photographs, contact information, and unit identification. Inaccurate or incomplete submissions may result in delayed, misdirected, or absent responses.

4.2 No Warranty of Response

Submission of a maintenance request through the Platform does not guarantee that a response will be received, that a Technician will be dispatched, or that any repair will be made. The Platform delivers requests to Property Owners and assists with coordination; the obligation to respond to and remedy maintenance issues rests solely with the Property Owner (or landlord) pursuant to applicable landlord-tenant law and any lease agreement between the Tenant and Property Owner. DisasterChief is not a party to any lease and has no obligation to ensure that maintenance issues are addressed.

4.3 Emergency Situations

THE PLATFORM IS NOT AN EMERGENCY SERVICE. For life-threatening emergencies, fire, gas leaks, flooding that poses immediate danger to life or property, or any other situation requiring immediate emergency response, Tenants must contact 911 or the appropriate emergency services directly. Do not rely on the Platform or any automated notification from the Platform in an emergency.

4.4 Tenant Communications

By submitting a maintenance request via SMS or web form, Tenants consent to receive SMS messages from DisasterChief (via Twilio) related to their request, including status updates and automated confirmations. Standard message and data rates may apply. Tenants may opt out of non-essential messages by replying STOP.


5. TECHNICIAN / SERVICE PROVIDER TERMS

5.1 Independent Contractor Status

All Technicians and Service Providers accessing the Platform are independent contractors, not employees, agents, or representatives of DisasterChief. Technicians are solely responsible for their own work, tools, insurance, licenses, taxes, and employment of any sub-workers.

5.2 Licensing and Insurance

Technicians represent and warrant that they hold all licenses, permits, and insurance required by applicable law to perform the services they accept through the Platform. DisasterChief reserves the right to request documentation of same but is not obligated to do so, and a Technician's presence on the Platform does not constitute DisasterChief's endorsement or verification of their qualifications.

5.3 Quality of Work

Technicians are solely responsible for the quality, safety, and completeness of any work performed. DisasterChief is not responsible for any property damage, personal injury, financial loss, or other harm resulting from work performed (or not performed) by a Technician, whether or not that Technician was contacted through the Platform.

5.4 Job Acceptance and Cancellation

Technicians are not obligated to accept any job offered through the Platform. Acceptance of a job constitutes a direct service agreement between the Technician and the Property Owner; DisasterChief is not a party to that agreement. Disputes regarding payment, scope of work, or service quality are between the Technician and the Property Owner.

5.5 Marketplace Participation

Technicians who subscribe to the DisasterChief Marketplace agree to separate marketplace billing terms. Marketplace subscription fees and referral fees are non-refundable except as required by law. Inclusion in the Marketplace does not guarantee any minimum number of job referrals.


6. AI-POWERED FEATURES — LIMITATIONS AND DISCLAIMERS

6.1 AI Categorization and Urgency Scoring

The Platform uses artificial intelligence (AI) to categorize maintenance requests and assign urgency scores. These classifications are automated estimates and may be inaccurate. DisasterChief does not warrant that any AI-generated category, urgency level, summary, or routing decision is correct. Property Owners are responsible for reviewing AI classifications and overriding them when incorrect. DisasterChief is not liable for any harm resulting from an inaccurate AI classification, including failure to escalate an emergency, over- or under-prioritization of a request, or routing to an inappropriate Technician.

6.2 AI-Drafted Communications

The Platform may draft SMS messages or other communications on behalf of Property Owners or Technicians. Property Owners and Technicians are responsible for reviewing drafted messages before sending (where review is provided) and are solely responsible for the content of any communication sent through or in connection with the Platform.

6.3 Translation Services

The Platform may offer automated translation of request descriptions and communications. Translations are machine-generated and may contain errors. DisasterChief does not warrant the accuracy of any translation. Users who require precise translation should obtain certified translations independently.

6.4 No Substitute for Human Judgment

AI-powered features are tools to assist users, not substitutes for human decision-making. No output of the Platform's AI systems should be relied upon for safety-critical decisions, legal compliance determinations, or any decision with significant consequences without independent human review.


7. SYSTEM RELIABILITY — DISCLAIMER OF WARRANTIES

7.1 "As Is" Service

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

7.2 No Guarantee of Delivery or Processing

DisasterChief does not warrant that:

  • Any SMS message, push notification, email, or other communication sent through the Platform will be delivered to its intended recipient, or delivered within any particular timeframe;
  • Any maintenance request submitted through the Platform will be received, processed, categorized, or routed correctly;
  • The Platform will be available at any particular time or free from interruption, errors, bugs, or data loss;
  • Any third-party service integrated with the Platform (including but not limited to Twilio, Clerk, Stripe, AWS S3, Cloudflare, or AI model providers) will be available or will perform as expected.

7.3 Notification Failures

Critical maintenance issues should not be communicated solely through the Platform. Property Owners, Tenants, and Technicians acknowledge that notifications — including SMS messages, push notifications, and email — may be delayed, filtered, blocked, or lost due to factors outside DisasterChief's control (including carrier filtering, device settings, network outages, and third-party service interruptions). DisasterChief is not liable for any harm resulting from a notification that was not delivered or was delivered late.

7.4 Force Majeure

DisasterChief is not responsible for any failure or delay in the operation of the Platform due to circumstances beyond its reasonable control, including natural disasters, power outages, internet outages, acts of government, war, terrorism, labor disputes, or failures of third-party infrastructure providers.


8. LIMITATION OF LIABILITY

8.1 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DISASTERCHIEF, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of revenue, profits, data, or business opportunity;
  • Property damage caused by a Technician or arising from a maintenance issue;
  • Personal injury or death caused by a Technician, Tenant, Property Owner, or any third party;
  • Harm resulting from failure of the Platform to deliver a notification or process a request;
  • Harm resulting from an inaccurate AI categorization or urgency score;
  • Costs of procuring substitute services;
  • Any harm arising from actions or omissions of Tenants, Property Owners, Technicians, or other third parties.

8.2 Cap on Direct Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DISASTERCHIEF'S TOTAL LIABILITY TO ANY USER FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY THAT USER TO DISASTERCHIEF IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

8.3 Essential Basis

THE LIMITATIONS IN THIS SECTION 8 REFLECT AN ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN DISASTERCHIEF AND EACH USER. DISASTERCHIEF WOULD NOT PROVIDE ACCESS TO THE PLATFORM ABSENT THESE LIMITATIONS.

8.4 Jurisdictional Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such restrictions apply under mandatory law, the above limitations shall apply to the maximum extent permitted.


9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless DisasterChief, its officers, directors, employees, contractors, affiliates, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. your use of the Platform or any services coordinated through the Platform;
  2. your violation of this Agreement;
  3. any content, information, or data you submit to or through the Platform;
  4. your violation of any applicable law or the rights of any third party;
  5. any dispute between you and another User (including disputes between Property Owners and Technicians, Property Owners and Tenants, or Tenants and Technicians);
  6. any work performed or not performed by a Technician in connection with a job coordinated through the Platform;
  7. any injury, property damage, or financial loss arising from a maintenance issue at your property or from work performed at your direction.

10. THIRD-PARTY SERVICES

The Platform relies on third-party services including Twilio (SMS), Clerk (authentication), Stripe (payments), Amazon Web Services / Cloudflare (media storage), and Anthropic (AI). Your use of these services is also subject to their respective terms of service and privacy policies. DisasterChief is not responsible for the availability, reliability, or performance of any third-party service.


11. PRIVACY

DisasterChief's collection and use of personal information is governed by the DisasterChief Privacy Policy, which is incorporated into this Agreement by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.


12. INTELLECTUAL PROPERTY

The Platform, including its software, design, AI models, algorithms, and content, is owned by DisasterChief and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own legitimate purposes under this Agreement. You may not copy, modify, distribute, sell, or sublicense any part of the Platform.


13. DISPUTE RESOLUTION

13.1 Informal Resolution First

Before initiating any formal dispute process, Users agree to attempt to resolve disputes informally by contacting DisasterChief at legal@disasterchief.com. DisasterChief will attempt to resolve the issue within 30 days of receiving written notice.

13.2 Binding Arbitration

If informal resolution fails, all disputes arising out of or relating to this Agreement or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as prohibited by applicable law. YOU AND DISASTERCHIEF WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

13.3 Class Action Waiver

You and DisasterChief agree that all claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

13.4 Governing Law; Venue

This Agreement is governed by the laws of the State of [STATE], without regard to its conflict of law provisions. To the extent arbitration does not apply, disputes shall be resolved in the state or federal courts located in [COUNTY], [STATE].


14. TERM AND TERMINATION

14.1 Term

This Agreement is effective when you first access the Platform and continues until terminated.

14.2 Termination by User

Property Owners may cancel their subscription at any time through the billing settings. Cancellation takes effect at the end of the current billing period. Unused subscription time is non-refundable.

14.3 Termination by DisasterChief

DisasterChief may suspend or terminate any User's access to the Platform at any time, with or without cause, with or without notice. Grounds for termination include (but are not limited to) violation of this Agreement, fraudulent or abusive use, or inactivity.

14.4 Effect of Termination

Upon termination, your license to use the Platform ends. Sections 7, 8, 9, 12, 13, 14, and 15 survive termination.


15. GENERAL PROVISIONS

15.1 Entire Agreement

This Agreement, together with the Privacy Policy and any applicable Marketplace Terms, constitutes the entire agreement between you and DisasterChief regarding the Platform and supersedes all prior agreements.

15.2 Modification

DisasterChief may update this Agreement at any time. If changes are material, we will notify you via email or in-app notice at least 30 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Agreement.

15.3 Severability

If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

15.4 Waiver

DisasterChief's failure to enforce any provision of this Agreement does not constitute a waiver of that provision.

15.5 Assignment

You may not assign your rights or obligations under this Agreement without DisasterChief's prior written consent. DisasterChief may assign this Agreement in connection with a merger, acquisition, or sale of assets.

15.6 No Third-Party Beneficiaries

This Agreement does not create any third-party beneficiary rights.

ACKNOWLEDGMENT

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.
